Terms of Use

Please read these terms carefully. They explain what you can expect from us and what we expect from you.

1. Who we are

KapVista (“KapVista”, “we”, “us”) is based in Sydney, New South Wales, Australia. These Terms of Use govern your access to kapvista.com and the KapVista platform, including investor matching, AI-assisted email drafting, email sending and tracking, and the KapVista marketplace (together, the “Service”). By creating an account or using the Service you agree to these terms. If you use the Service for a company, you confirm you are authorised to bind that company.

2. Accounts

You must be at least 18 and provide accurate information when you register. You are responsible for:

  • keeping your login details secure and for all activity under your account;
  • keeping your company or investor profile accurate and up to date; and
  • telling us promptly at hello@kapvista.com if you suspect unauthorised access.

Investor accounts may be asked to confirm their status before accessing full company profiles. We may refuse, suspend or close accounts that breach these terms.

3. How the Service works

KapVista suggests investors who may be a good fit and drafts emails using AI based on your profile and publicly available information about each investor. Matches and drafts are suggestions only. You are responsible for reviewing, editing and approving every email before it is sent, and for the accuracy of everything you say about your company.

We do not guarantee any response rate, meeting, investment or outcome. KapVista is not a financial adviser, broker, dealer or fundraising intermediary, and nothing on the Service is financial, legal or investment advice.

4. Sending from your own inbox

To send emails, you connect your own Google (Gmail) or Microsoft (Outlook) account. Emails are sent from your address, in your name, only after you approve them. You remain the sender of every message and are responsible for complying with applicable laws, including the Spam Act 2003 (Cth) and equivalent laws in the recipient's country.

You can disconnect your mailbox at any time from your settings or from your Google or Microsoft account security page.

5. Acceptable use

You agree not to:

  • send spam, bulk unsolicited messages, or emails unrelated to a genuine fundraising or business purpose;
  • keep emailing an investor who has asked not to be contacted, or send more than the follow-ups the Service allows;
  • make false or misleading statements about your company, traction, team or investors;
  • offer securities in breach of the Corporations Act 2001 (Cth) or other securities laws;
  • scrape, copy, resell or redistribute investor data or marketplace content;
  • use investor contact details for any purpose other than your own fundraising through the Service;
  • interfere with, reverse engineer or attempt to gain unauthorised access to the Service; or
  • use the Service for anything unlawful, harassing, discriminatory or harmful.

We may monitor sending volumes and complaint rates to protect recipients and our infrastructure, and may pause sending or suspend accounts that breach this section.

6. Plans, credits and payment

Some features require a paid plan. Paid plans are billed monthly in advance in US dollars through our payment processor, Stripe, and renew automatically until cancelled. Each plan includes a monthly allowance of credits; one credit generally covers one AI-personalised email to one investor. At each renewal your credit balance resets to the plan allowance; unused credits, including top-up credits, do not roll over. Top-up packs (25 credits for $29) are one-off purchases. Current pricing is shown on our pricing page.

You can cancel at any time; cancellation takes effect at the end of the current billing period. We may change prices with at least 30 days' notice, effective from your next renewal.

7. Refunds

If you have not spent any credits from a purchase, you may request a full refund of that purchase within 14 days by emailing hello@kapvista.com. Otherwise, payments are non-refundable except where required by law.

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts or modifies any right or remedy you have under that law.

8. The marketplace

Founders may choose to list a company profile. A summary is public; additional details are shown to signed-in investor accounts. Listings are provided by founders and are not verified, endorsed or recommended by KapVista. Investors must make their own enquiries and obtain independent advice before investing. Founders decide whether to accept introduction requests.

9. Your content and our IP

You own the content you submit, including your profile and emails. You grant us a licence to host, process and display it as needed to run the Service (for example, to match you with investors, draft emails and show your listing). We own the Service, our software, the KapVista brand and our compiled investor database. AI-generated drafts are provided for you to use, and you are responsible for checking them before sending.

10. Disclaimers and liability

To the extent permitted by law, the Service is provided “as is”, and we are not liable for indirect or consequential loss, lost profits or lost opportunities. Where our liability cannot be excluded but can be limited, it is limited (at our option) to supplying the services again or paying the cost of having them supplied again, and otherwise to the amount you paid us in the 3 months before the claim.

11. Suspension and termination

You can close your account at any time. We may suspend or terminate access if you breach these terms, create risk for other users or recipients, or if required by law. Sections that by their nature should survive termination will survive.

12. General

We may update these terms from time to time and will notify you of material changes by email or in the app. These terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of its courts.
